Distance Services Sales Agreement and Terms of Use

This Agreement sets out the rights and obligations between the user (the "BUYER") who makes venue, event or transfer reservations electronically through the LIQAVO mobile application, the venue, organiser or transfer company that actually provides the service (the "SERVICE PROVIDER"), and LIQAVO (the "INTERMEDIARY PLATFORM") which acts as intermediary between these two parties, under the Turkish Consumer Protection Law No. 6502 and the Distance Sales Regulation (Mesafeli Sözleşmelere Dair Yönetmelik).

The commercial title, address and contact details of the service provider are shown to the user on the relevant reservation detail screen. BUYER The user, being a natural person of legal age (18+), who registers on the App and submits a reservation request. LIQAVO acts as an intermediary platform, not as the seller directly providing the service. The actual performance of the service is the responsibility of the SERVICE PROVIDER.

Definitions

APP: the LIQAVO iOS and Android mobile application, SITE: the liqavo.com website, SERVICE: venue reservations, event tickets, transfer (LIQAVO Drive) and hotel coupon services intermediated through the App, VENUE RESERVATION: a reservation for a table, cabana, court or session at venues such as restaurants, bars, cafés, beach clubs, nightclubs and tennis clubs, EVENT RESERVATION: a tier (category) based, capacity-controlled ticket reservation for concerts, parties or organisations, EXTERNAL-LINK EVENT: third-party events that LIQAVO does not sell and only provides a redirect link for, LIQAVO DRIVE: the point-to-point transfer service operated in the Çeşme region, HOTEL COUPON: a promotional or referral code provided by hotel partners to their customers that can be used on venue reservations, DEPOSIT: a payment made via bank transfer to the IBAN specified by the venue, where the venue partner requires it to secure the reservation, REFUND IBAN: the bank account previously defined by the BUYER in account settings and to which any refund payments will be sent.

Subject of the Agreement

The subject of this Agreement is to set out, in line with the Turkish Consumer Protection Law No. 6502 and the relevant legislation, the nature, sales price, payment method, period of performance, cancellation and refund terms of the service (venue reservation, event ticket or transfer) requested by the BUYER electronically through the LIQAVO App, as well as the rights and obligations of the parties. LIQAVO acts only as intermediary in this process; the actual provision of the service is carried out by the SERVICE PROVIDER.

Service Information

The categories of service provided through the LIQAVO App are set out below. 1) Venue Reservation: reservations for tables, cabanas, courts or sessions at restaurants, bars, cafés, beach clubs, nightclubs and tennis clubs. Automatic approval or manual approval by the venue is applied according to the venue's preference. 2) Event Reservation: tier (category) based, capacity-controlled ticket reservations for concerts, parties and organisations. With administrator approval LIQAVO may also list external-link events; in that case LIQAVO does not sell anything and only redirects the user to the official sales page of the third party. 3) LIQAVO Drive (Transfer): point-to-point transfer service in the Çeşme region. Reservations are confirmed by the relevant transfer company, with a driver and vehicle assigned. At the start of the journey the BUYER initiates the trip by having the driver scan the QR code shown in the App. 4) Hotel Coupon: a promotional or referral code provided by hotel partners to their customers. The code grants the BUYER a discount on eligible venue reservations, or yields commission to the relevant hotel. The price, conditions and cancellation policy of each service are clearly shown in the App before the reservation is completed.

Pricing

Prices displayed in the App are the current sales prices set by the SERVICE PROVIDER. All prices displayed are shown including VAT. The amount of any deposit required for venue reservations, extra services and service fees, transfer distance and fare are clearly shown to the BUYER before the reservation is confirmed. The BUYER is deemed to have seen and accepted this information before sending the reservation request. Prices apply at the time they are displayed; time-limited campaigns apply until the announced end of the campaign period. LIQAVO and the SERVICE PROVIDER reserve the right to cancel the reservation and refund the amount paid in case of manifest pricing errors arising from typographical or system mistakes.

Payment Method (IBAN Bank Transfer)

LIQAVO does not use any third-party payment service provider for payment processes. All settlement takes place by IBAN bank transfer directly between the BUYER and the SERVICE PROVIDER; no card or payment data passes through LIQAVO systems. The payment flow is as follows: 1) The BUYER submits a reservation request through the App. The reservation is confirmed automatically or manually depending on the venue's configuration. 2) If a deposit is required, the venue's IBAN and account holder information is shown to the BUYER. The BUYER carries out the transfer through their own banking channel and marks it as "Payment Sent" in the App. 3) If the venue partner confirms that the transfer has reached their account ("Payment Received") the reservation becomes final. If the venue does not confirm or reports that the payment did not arrive ("Payment not received"), the reservation is cancelled. 4) If payment or confirmation does not occur within 30 minutes of the reservation, the reservation is automatically expired and cancelled. The BUYER is obliged to enter in full the reference or description information shown in the App during the bank transfer. If the venue cannot match the transfer due to missing or incorrect description, the reservation may be cancelled and LIQAVO cannot be held responsible.

User Obligations and System Protection Mechanisms

By submitting a reservation request, the BUYER acknowledges, declares and undertakes that they have read and electronically confirmed the essential nature, price, payment method, cancellation terms of the service and the information of the actual SERVICE PROVIDER. The BUYER is obliged to comply with the dress code, age limit, late-arrival and no-show rules set by the venue, the capacity and luggage limits specified in the transfer service, and the rules announced for the event. The BUYER agrees not to create an account with false information, not to use another person's identity or contact information, not to misuse the service, and not to overload the system with automated tools. In order to protect the security of the system and the quality of the service, LIQAVO applies the following technical protection mechanisms: - Rate limit: a maximum of 5 reservation attempts per minute is allowed. - Strike protection: users who have created 3 or more unpaid expired reservations within the last 1 hour are subject to a 1-hour cooldown during which no new reservations can be made. - Drive cancellation cooldown: users who have cancelled 3 or more transfer reservations within the last 1 hour cannot make a new transfer request for 30 minutes. - Daily reservation limit: a maximum of 5 reservations per day in total across all categories; this limit is raised to 8 for trusted users with at least 3 successful past payments. - Active reservation limit: a maximum of 5 concurrent active reservations (8 for trusted users) can be held. - LIQAVO Drive: only 1 active transfer reservation is allowed at the same time. The BUYER accepts these protection mechanisms and acknowledges that their misuse may additionally lead to suspension, account closure or legal action.

Cancellation and Right of Withdrawal

Venue Reservation: For cancellations made within the free cancellation period set by the venue, any deposit paid is refunded by the venue to the BUYER's refund IBAN by bank transfer. After the free cancellation period, a partial refund or no refund may apply depending on the venue's cancellation policy. Event Reservation: Completed and confirmed event reservations are not subject to refund, cancellation or change unless the event is cancelled by the organiser or by LIQAVO. In case of cancellations attributable to the organiser or LIQAVO, the amount paid is fully refunded. LIQAVO Drive: Cancellations made before a driver is assigned do not incur any charge. After a driver has been assigned, the transfer company's cancellation policy applies. External-Link Events: Since LIQAVO is not the seller, cancellation and refund processes are entirely subject to the conditions of the third party to which the user is redirected. In case of cancellations made by the SERVICE PROVIDER or LIQAVO, all amounts paid are refunded unconditionally to the BUYER's refund IBAN.

Services Not Subject to the Right of Withdrawal

Pursuant to Article 15 of the Distance Sales Regulation (Mesafeli Sözleşmeler Yönetmeliği), the right of withdrawal cannot be used in the following cases: - Services whose performance has started and been completed with the BUYER's consent (check-in at the venue on the reservation date, the transfer having started, or attendance at the event), - Event tickets that must be performed on a specific date or period and are subject to limited capacity, - Reservations specifically arranged according to the BUYER's special request and including personalised arrangements, - Reservations for which a fee is charged according to the venue's cancellation policy in the event of no-show (failure to attend at the reserved time).

Deposit and Bank Transfer Process

All deposit and service-fee payments in LIQAVO's reservation processes are made by IBAN bank transfer, directly to the venue partner's account. There is no automated collection or chargeback operation on the system; each movement proceeds in the banking channel by manual confirmation of the parties. Deposit flow: - After the reservation is confirmed, the venue's IBAN and account holder information is shown to the BUYER. - The BUYER carries out the transfer through their own banking channel and marks it as "Payment Sent" in the App. - The venue partner either confirms that the transfer has been received ("Payment Received") or rejects it ("Payment not received"). If payment or confirmation does not take place within 30 minutes of the reservation request, the reservation is automatically expired. - In case of a refund, the venue sends the refund from its own banking application to the refund IBAN defined in the BUYER's account settings and marks it as "Refund Sent" in the App. The refund IBAN must have been previously defined by the BUYER. If a refund IBAN is not defined, the refund process is initiated once the BUYER gets in touch and provides a valid IBAN.

Liability

LIQAVO acts as an intermediary platform and cannot be held directly responsible for the quality, content, hygiene conditions, service times or manner of staging of the service provided by the SERVICE PROVIDER. Complaints regarding such matters are directed to the SERVICE PROVIDER; nevertheless, LIQAVO provides intermediary and communication support to remedy the BUYER's grievances. As LIQAVO does not use a third-party payment service provider in the payment flow, LIQAVO cannot be held responsible for EFT/transfer fees charged by the bank during the transfer, transfers sent to the wrong IBAN, incorrect description entries or delays and errors arising from temporary outages of banking systems. In the LIQAVO Drive service, the safety of the vehicle, driver and journey is the responsibility of the relevant transfer company. LIQAVO only intermediates the reservation, matching and QR code-based verification. LIQAVO reserves the right to suspend its services temporarily due to technical errors, maintenance, force majeure or decisions of authorised bodies. In such cases an effort is made to inform the BUYER in advance.

Dispute Resolution and Competent Court

Disputes arising from this Agreement are subject to the laws of the Republic of Turkey. The BUYER may apply to the Consumer Arbitration Committee (Tüketici Hakem Heyeti) at their place of residence or where the consumer transaction took place within the monetary limits announced each year by the Ministry of Trade, and to the Consumer Courts (Tüketici Mahkemeleri) for disputes exceeding those limits. Disputes should primarily be resolved through good-faith negotiation between the parties. In this context the BUYER is invited to send requests and complaints first to support@liqavo.com.

Effective Date

This Agreement enters into force when the BUYER electronically confirms a reservation request through the LIQAVO App. By confirming the reservation, the BUYER declares that they have read, understood and accepted all provisions of this Agreement. The INTERMEDIARY PLATFORM is obliged to make this Agreement available to the BUYER electronically prior to the reservation transaction. The effective date of this Agreement is the "Last updated" date indicated at the top of this page.
